Effective Date: 21 October 2025
1.1. These Terms and Conditions (“T&Cs”) govern the use of all services (“Services”) offered by AdminTech, a service provided by Business Innovation Group SA, a company registered in Switzerland (“AdminTech”, “we”, “us”). The Services consist of the website admintech.ch (the “Website”) and access to our AI-powered legal assistant “Amy” (“AI Assistant”) via a registered user account.
1.2. These T&Cs form a legally binding agreement between AdminTech and you, the user (“User”, “you”). The User must be a legal entity (e.g., SA, Sàrl), a sole proprietorship acting in a professional capacity for a business domiciled in Switzerland. Our Services are provided exclusively for business and professional use and are not intended for consumers for personal, family, or household purposes.
1.3. By accessing the Website and creating an Account, you acknowledge that you have read, understood, and agree to be bound by these T&Cs. You warrant that you have the authority to enter into this agreement on behalf of your business.
1.4. Disclaimer: AdminTech is a technology provider, not a law firm. The Services are sophisticated software tools designed to assist with document creation. They are not a substitute for professional legal advice from a qualified lawyer. The information and documents generated do not constitute legal counsel, and no attorney-client relationship is formed through the use of our Services. No communication with AdminTech or its AI Assistant should be construed as legal advice.
3.1. Registered Account Required: Access to and use of the AI Assistant requires the creation of a registered Account and an active subscription or free trial.
3.2. You agree to provide accurate, current, and complete information during the registration process and to keep this information updated.
3.3. You are solely responsible for all activities that occur under your Account, including safeguarding your password. You must notify AdminTech immediately of any security breach or unauthorized use of your Account.
3.4. Free Trial Period: We may offer a free trial period for new Users.
3.4.1. The free trial period lasts for two (2) weeks and is limited to a maximum of five (5) Amy chat sessions and one (1) free final document credit.
3.4.2. The free trial automatically expires as soon as one of the following events occurs, whichever is first:
a. The two-week period expires without the purchase of a subscription.
b. The limit of five (5) chat sessions is reached.
c. The one (1) final document credit is used.
d. A paid subscription plan is activated by the User.
3.5. Effects of Free Trial Expiration: Upon the expiration of the free trial:
a. Any unused final document credit is immediately forfeited and cannot be carried over.
b. Access to the AI Assistant (“Amy”) will be disabled until a subscription is purchased.
4.1. User Obligations: The User agrees to:
a. Use the Services in a professional manner and in full compliance with all applicable Swiss laws.
b. Ensure that all User Content provided is accurate and that you have the legal right to use it.
c. Not use the Services to create documents for illegal, fraudulent, or immoral purposes.
d. Take sole responsibility for the final review, validation, and legal suitability of any document generated through the Services. It is highly recommended to have any significant legal document reviewed by a qualified legal professional.
e. Understand and accept that the quality and legal validity of the document generated by the AI Assistant are directly dependent on the accuracy, completeness, and clarity of the information and instructions (User Content) you provide. The User is solely and exclusively responsible for all User Content provided to the AI Assistant.
5.1. Fees: The fees for subscription plans are detailed on our pricing page.
5.2. Subscriptions: We offer subscription plans which can be paid on a monthly or annual basis. A discount may be offered for annual prepayment. In the case of monthly payments, the commitment period is for a minimum of one full year. Subscriptions provide a specified number of final document credits as indicated on our pricing page. Subscriptions are billed in advance on a recurring basis.
5.3. Cancellation: You may cancel your subscription at any time via your Account settings. The cancellation will take effect at the end of your current billing period (month or year). Upon the effective date of cancellation, your access to the AI Assistant (“Amy”) will be blocked, and all unused document credits will be forfeited and will not be refunded.
5.4. Default of Payment: In the event of a default of payment for a subsequent billing period, the User’s access to the AI Assistant (“Amy”) will be blocked immediately and without prior warning. We reserve the right to charge reminder fees, as well as any legal and enforcement fees incurred. AdminTech may initiate debt collection proceedings without further notice.
6.1. AdminTech IP: All rights, title, and interest in and to the Services, including the Website, the AI Assistant, and all related software and underlying legal frameworks, are and will remain the exclusive property of AdminTech.
6.2. User Content: You retain all ownership rights to the User Content you provide. You grant AdminTech a limited, worldwide, non-exclusive license to use, reproduce, modify, and process your User Content solely for the purpose of providing and improving the Services to you, subject to the confidentiality obligations in Section 9.
6.3. Generated Documents: AdminTech grants you a limited, non-exclusive, non-transferable license to use the final documents generated through the Services for your own internal business purposes. You are strictly prohibited from reselling, redistributing, or otherwise commercially exploiting the generated documents or drafts.
7.1. AdminTech guarantees that the legal frameworks used by the AI Assistant are developed and regularly reviewed by qualified Swiss lawyers and reflect the state of Swiss law at the time of their last update.
7.2. In the event of a direct financial loss incurred by the User due to a proven and demonstrable error in the legal text generated by the AI Assistant, AdminTech’s liability is limited to covering the demonstrable direct damages, up to a maximum aggregate amount of CHF 25’000 per case.
7.3. Exclusions from Guarantee: This guarantee is strictly limited to the legal text and logic provided by AdminTech’s system. It explicitly does not cover any errors, inaccuracies, or legal issues arising from:
a. Any information, data, instructions, or choices entered or made by the User (User Content).
b. The User’s decision to use a generated document for a situation for which it was not intended.
c. Any modifications made by the User to the document after its generation.
d. The use of a document that has become outdated due to subsequent changes in the law.
e. Any situation where the User failed to seek specific legal advice when a reasonable business person would have done so.
7.4. To make a claim under this guarantee, the User must notify AdminTech in writing within 30 days of discovering the alleged error and provide comprehensive documentation proving the error and the resulting direct financial damage.
8.1. Except for the express guarantee in Section 7, the Services are provided “as is”. AdminTech disclaims all other warranties, express or implied, including any implied warranties of merchantability or fitness for a particular purpose.
8.2. To the fullest extent permitted by Swiss law, AdminTech, its directors, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, arising from your use of the Services or any document generated therefrom.
8.3. For any claim not covered by the guarantee in Section 7, the total aggregate liability of AdminTech shall not exceed the subscription fees paid by the User during the twelve (12) months preceding the event giving rise to the claim.
9.1. The collection and use of personal information in connection with your access to and use of the Service is described in our Privacy Policy, which is an integral part of these T&Cs.
9.2. Chat and Document History for Quality Control: For the purposes of ensuring legal compliance, quality control, and the continuous improvement of our Services, the User acknowledges and agrees that AdminTech may store and access the history of chat sessions and final documents generated. Access to this content is strictly limited to authorized specialist legal personnel within AdminTech under strict confidentiality obligations. We warrant that this content will not be shared with any third-party provider or external entity unless explicitly required by Swiss law.
10.1. The User may terminate their subscription at any time subject to the cancellation terms in Section 5.3.
10.2. AdminTech may terminate or suspend a User’s Account and access to the Services with immediate effect for any breach of these T&Cs. Upon termination, your right to use the Services will immediately cease.
11.1. Governing Law: These T&Cs shall be governed by the substantive laws of Switzerland.
11.2. Jurisdiction: The exclusive place of jurisdiction for any disputes arising out of or relating to these T&Cs shall be the courts of the Canton of Geneva, Switzerland.
11.3. Modification: AdminTech reserves the right to modify these T&Cs at any time. We will provide at least 30 days’ notice of any material changes. Your continued use of the Services after this period constitutes your acceptance of the new T&Cs.
11.4. Severability: If any provision of these T&Cs is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
11.5. Force Majeure: Neither party shall be liable for any failure or delay in performance under these T&Cs due to causes beyond its reasonable control, including but not limited to acts of God, war, strikes, or government orders.
11.6. No Waiver: The failure of AdminTech to enforce any right or provision of these T&Cs will not be deemed a waiver of such right or provision.
11.7. Assignment: You may not assign or transfer your rights under these T&Cs without the prior written consent of AdminTech. AdminTech may assign its rights and obligations without restriction.
11.8. Entire Agreement: These T&Cs, together with our Privacy Policy, constitute the entire and exclusive agreement between AdminTech and you regarding the Services, and supersede all prior understandings or agreements.
